Debenhams did not die. Its property portfolio did. What survived — a 240-year-old brand, millions of shoppers and a national name recognition most digital retailers would pay hundreds of millions to build — was quietly transferred into a marketplace with almost no fixed cost base.

What actually collapsed

The story sold to the public was that Debenhams failed. The more precise story is that a department store cost structure failed while the customer relationship survived intact.

Leases, staff, stock risk and physical footfall dependency were the liabilities. Every one of them was severed in administration. The brand equity — the most expensive asset in modern retail — was bought for a rounding error.

The market wrote off a brand when it should have written off a cost base.

The marketplace re-rating

The rebuilt Debenhams operates as a third-party marketplace: brands hold the stock, Debenhams holds the demand. That single structural change converts a low-margin, capital-heavy retailer into a commission business with software-like economics.

Marketplaces are valued on take rate and gross merchandise value, not on square footage. The same revenue line is worth several times more when the balance sheet stops carrying the inventory.

Why the market still misprices it

Investors anchor to the last known identity of a business. Debenhams is still mentally filed under 'failed department store', which is precisely why the re-rating opportunity exists.
